Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Seraphine Software Labs LLC AI phone answering service and the seraphone.ai website (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Seraphone provides an AI-powered assistant that answers, handles, and summarizes phone calls and messages on behalf of your business, along with a dashboard for configuration and review. Features available to you depend on your subscription tier.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
3. Customer responsibilities and acceptable use
You agree that you will:
- Use the Service only for lawful business purposes and in compliance with all applicable laws, including call-recording, consent, telemarketing, TCPA, and messaging (A2P 10DLC) rules.
- Obtain any consents required for Seraphone to answer, record, or transcribe calls to your numbers.
- Provide accurate business information for telephony and messaging registration.
- Not use the Service to harass, defraud, or send unlawful, deceptive, or prohibited content.
- Not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
You are solely responsible for how you configure your AI assistant and for the consequences of calls and messages it handles on your behalf.
4. AI-generated output
The Service uses artificial intelligence to understand and respond to callers and to generate transcripts and summaries. AI output can be inaccurate or incomplete and should not be relied upon as professional, legal, medical, or financial advice. You are responsible for reviewing output and for any decisions you make based on it. Seraphone does not guarantee that the assistant will handle every call correctly.
5. Subscriptions, fees, and billing
Paid plans are billed in advance on a recurring basis through our payment processor. Usage above your plan's included limits may incur additional charges as described at signup. Fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice. You can cancel at any time; cancellation takes effect at the end of the current billing period.
6. Third-party services
The Service integrates with third-party providers (for example, telephony, messaging, calendar, and payment providers). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services or their availability.
7. Intellectual property
We and our licensors own all rights in the Service, including software, design, and content, excluding your data. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the business information and call data you provide, and you grant us the rights needed to operate and improve the Service consistent with our Privacy Policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL CORRECTLY HANDLE EVERY CALL OR MESSAGE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERAPHONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Seraphone and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content or configuration, or your violation of these Terms or applicable law, including recording, consent, and messaging laws.
11. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. Upon termination, your right to use the Service ends; certain provisions survive, including those on intellectual property, disclaimers, liability, and indemnification.
12. Governing law and disputes
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Oakland County, Michigan, unless an arbitration agreement is added here after legal review. 13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and the "Last updated" date will be revised. Continued use after changes take effect constitutes acceptance.
